ACCEPT TERMS

BY OBTAINING ACCESS TO TAYLOR CORPORATION’S VENDOR EXTRANET, I AGREE TO MAINTAIN THE CONFIDENTIALITY OF, AND NOT TO USE EXCEPT AS PART OF MY BUSINES RELATIONSHIP WITH TAYLOR CORPORATION, ANY OF THE INFORMATION TO WHICH I HAVE ACCESS IN THE VENDOR EXTRANET.  SPECIFICALLY, I ACCEPT THE FOLLOWING TERMS AND CONDITIONS:

Vendor has requested access to Taylor Corporation’s Vendor Extranet (the “Vendor Extranet”), to facilitate growing the relationship between Vendor and Taylor with respect to supplying products and services to Taylor.  As part of gaining access to the Vendor Extranet, Vendor and its designated agents, employees and representatives (collectively, “Representatives”) shall receive access to proprietary and confidential information related to Taylor, which may include, without limitation, key contact information for Taylor Corporation and Taylor Corporation Companies, advance copies of press releases, prior to release to the public, detailed Taylor news and information, scorecard information related to the Vendor’s relationship with Taylor, including key sourcing metrics and other relationship characteristics, other Taylor ideas and concepts for innovation (intended to promote a more pro-active business relationship with Vendor), as well as other proprietary and confidential information related to Taylor and its business relationship with Vendor (collectively, the “Confidential and Proprietary Information”).  Vendor’s access to Taylor’s Confidential and Proprietary Information is subject to, and conditioned upon Vendor and its Representatives’ acceptance and agreement to maintain the confidentiality of such Confidential and Proprietary Information, and to use such information solely as part of the working relationship with Taylor (and in a manner as to enhance that business relationship).  Without limitation, Vendor and its Representatives, by gaining access to the Vendor Extranet, agree and commit that they, respectively, shall maintain the confidentiality of the Confidential and Proprietary Information using such measures as Vendor accords its own information of a similar nature and, in any event, shall exercise such care in protecting the Confidential and Proprietary Information of Taylor as a reasonably prudent person would exercise.  Vendor further agrees that the Confidential Information shall be used solely for the purposes of engaging in its business relationship with Taylor and, except for such limited purposes; such information shall not be used for its own benefit or be disclosed to any third party.  Vendor may disclose the Confidential Information only to its Representatives solely as part of its business relationship with Taylor, provided that each Representative must agree to comply with and be bound by the terms of this Agreement and that Vendor shall be liable for the acts of its Representatives and any and all other persons to whom it discloses the Confidential and Proprietary Information of Taylor.
